Terms of Service

Welcome to AdArena ("AdArena," "Platform," "we," "us," or "our"), operated by Playbox.io LTD (Israeli company ID 516825114), located in Tel Aviv, Israel. These Terms of Service ("Terms") govern your access to and use of the AdArena platform at adarena.app and all related services (collectively, the "Services").

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

Definitions

• Brand — a business or individual launching video Challenges.
• Creator — an individual submitting videos to Challenges as an independent contractor.
• Agency — a marketing agency managing one or more Brands via StudiOS.
• Guild Master — a community leader who refers Creators or Brands to the Platform.
• Challenge — a video creation competition posted by a Brand.
• Submission — a video entry created by a Creator for a Challenge.
• Prize Pool — total monetary awards distributed to Challenge winners.
• Transfer Event — the moment IP rights in a Submission transfer to the Brand (defined in Section 11).
• AI Creative Director — AdArena's internal AI scoring system that evaluates Submissions against the 8 Pillars (defined in §4.5).

You must comply with all applicable laws in your jurisdiction. Brands must be a registered business or have authority to bind their organization. Agencies must have written authorization from each client Brand they represent.

• Provide accurate, current, and complete information.
• Maintain the security of your credentials; you are responsible for all activity under your account.
• Notify us immediately of any unauthorized access at contact@adarena.app.
• One account per person/entity. Multiple accounts to circumvent limits or rules are prohibited.

4.1 2026 Pricing & Packages

Israeli brands are charged VAT (currently 18%) on top of the listed price. International brands pay USD without VAT.

4.2 Payment & Escrow

Brand payments are collected before a Challenge goes live. Funds are held in escrow and released to winners after announcement. Once a Challenge is live, fees are non-refundable except as set out in Section 6.

4.4 Brand Commitments

• Provide a clear, accurate brief and any required brand kit assets.
• Review submissions in good faith and select winners within the SLA.
• Use winning content only in accordance with the Transfer Event scope (Section 11).
• Never contact Creators outside the Platform to circumvent fees.

4.5 Judging Methodology — AI Creative Director + Brand Final Decision

• The AI scoring is advisory guidance presented to the Brand alongside each Submission. It is never binding by itself.
• The Brand makes the final winner decision based on commercial fit and the value the content will deliver for the Brand's business — even if a Submission has a lower AI score than another.
• If the Brand misses the 5-day SLA (§4.3), AdArena may auto-finalize the winners using the AI Creative Director scores so Creators are paid on time.
• By participating, Creators and Brands accept that judging combines algorithmic scoring with the Brand's subjective business judgment, and that all final decisions are final and not subject to appeal.

All Challenges on AdArena are skill-based competitions, not lotteries or games of chance. Winners are selected by the Brand using a combination of AdArena's AI Creative Director scoring (§4.5) and the Brand's subjective business judgment, or by AdArena under the SLA fallback in §4.3.

• No purchase necessary to enter or win (a free Creator account is sufficient).
• Submissions must comply with the brief, the Acceptable Use Policy, and the Community Guidelines.
• Maximum 3 Submissions per Creator per Challenge.
• Judging combines AI scoring + Brand business judgment; all decisions are final and not subject to appeal.
• Void where prohibited by law.
• Winners are responsible for any taxes on prize amounts in their jurisdiction (see §8.4).

6.1 Brand Refunds

• Before Challenge goes live: Full refund within 24 hours of payment if no Submissions have been received and the Challenge has not been published.
• After Challenge goes live: Non-refundable. Prize Pool funds are committed to participating Creators.
• Challenge cancelled by AdArena: Full refund of unused Prize Pool.

6.2 Creator Refunds

Creator participation is free. No fees are charged to enter Challenges, so no refunds apply to Creators.

7.1 Content Ownership & Originality

• You must own (or have full rights to) every element of every Submission, including footage, audio, AI-generated assets, and any third-party material.
• No copyrighted music. Use royalty-free or AI-generated audio only (e.g. Suno, Udio, Epidemic Sound, Artlist).
• Submissions must be created with AI tools to the extent required by the Challenge brief.
• Maximum 3 Submissions per Challenge.
• You authorize AdArena to display your Submissions publicly on the Platform, in marketing, and in the Showroom.

7.2 Third-Party Likeness, Faces & Voices — Signed Release Required

• This applies equally to deepfakes, face swaps, AI clones, voice clones, lip-syncs, and any synthetic depiction of a real person.
• Likeness of minors (under 18) is prohibited even with a parental release unless AdArena has expressly approved the brief in writing.
• You must be able to produce the signed release within 7 days of an AdArena or Brand request. Failure to do so will result in immediate disqualification, removal of the Submission, and forfeiture of any prize.
• You indemnify and hold harmless AdArena, Playbox.io LTD, and the Brand from any claim, loss, settlement, or expense (including attorneys' fees) arising from a breach of this clause.
• AdArena may remove Submissions and disqualify Creators on reasonable suspicion of a breach, even before a formal complaint is received.

8.1 Payout Method by Region

8.2 Payout Schedule & Compliance

• Payouts are processed on the 15th of each month for wins finalized in the prior cycle.
• Creators must complete identity, tax, and payout setup before funds are released.
• Israeli creators classified as "Individual" must accept the self-billing invoice agreement so AdArena can issue invoices on their behalf.
• AdArena may withhold payouts that fail compliance, AML, sanctions, or fraud checks until resolved.

8.3 Fees, FX & Net Amount Received

• AdArena pays out the gross prize amount in USD (or ILS for Israeli winners). All transfer fees, intermediary bank fees, Payoneer wallet fees, Payoneer withdrawal fees, currency conversion fees, and FX spreads are the Creator's sole responsibility and are deducted from the amount the Creator ultimately receives.
• AdArena will not "gross up" a payout to compensate for any such fee or FX loss.
• By using the Platform and accepting a payout, the Creator irrevocably accepts that the net amount received may be lower than the published prize and waives any claim against AdArena or Playbox.io LTD on that basis.

8.4 Tax Compliance & Withholding

• The Creator is solely responsible for declaring and paying all income tax, VAT/GST, social security, and any other levy on prize amounts in their country of residence and tax residency.
• Where applicable law requires AdArena or Playbox.io LTD to withhold tax at source (e.g., Israeli tax withholding, U.S. backup withholding, treaty rates), AdArena will do so and remit the withheld amount to the relevant tax authority. The net amount paid to the Creator will be reduced accordingly and AdArena will have no further obligation in respect of that withholding.
• The Creator is responsible for providing accurate tax residency information and any required tax forms (e.g., W-8BEN, non-residency declaration). Misrepresentation may result in payout being withheld, prize forfeiture, and account termination.
• By using the Platform, the Creator expressly agrees that AdArena's only payment obligation is to disburse the gross prize amount (less any required withholding), and that downstream taxes and fees are the Creator's responsibility.

Agencies use the StudiOS workspace to manage multiple Brands. Agencies pay full Platform pricing on behalf of their clients; AdArena tracks a 10% commission for the Agency in our internal partner ledger.

• Agencies must hold written authorization from each Brand they manage.
• White-labeling, reselling, or rebranding the Platform is prohibited without a separate written agreement.
• Agencies are jointly responsible with their Brands for compliance with these Terms.

10.1 Brand Referral — Available to All Users

Every registered user (Creator, Brand, or Agency) may earn a one-time $250 bonus when they refer a new Brand who pays for and runs their first paid Challenge on AdArena. This is the only monetary affiliate path available to regular users.

• The bonus is paid once per referred Brand, after that Brand's first paid Challenge goes live.
• Self-referrals, sybil patterns, and any form of fraud or abuse will void the bonus and may result in account termination.
• Bonuses do not apply to AdArena's own platform / flagship challenges, only to genuine third-party Brands.

10.2 Guild Masters — Limited, Approved Community Leaders

In addition to the $250 Brand referral bonus available to all users (§10.1), approved Guild Masters earn:

• Creator community share: 10% of net prize winnings from Creators they refer, capped at $200 per individual referral and $5,000 per calendar year per Guild Master.
• This commission is paid only when the referred Creator places in a paid winning position (top 3) on a non-platform Challenge.

10.3 Regular Creator-to-Creator Referrals

Creator-to-Creator referrals by users who are not approved Guild Masters are tracked for community attribution but do not carry any monetary bonus. The previous $50 first-win bonus has been retired and only Guild Masters earn from referred-creator wins.

10.4 Program Changes

AdArena may modify, pause, suspend, or terminate the referral and Guild Master program at any time. Bonuses already earned and approved will be honored; pending or unearned bonuses are subject to the rules in effect at the time the qualifying event occurs.

11.1 Exclusive License on Submission

By uploading a Submission, the Creator grants AdArena and the sponsoring Brand an immediate, exclusive, irrevocable, worldwide, sublicensable license to store, host, display, sublicense, review, evaluate, and otherwise use the Submission for any platform, evaluation, marketing, or operational purpose. The Creator may not sell, license, distribute, re-upload, or otherwise grant rights in the same Submission to any third party (including competing platforms) for as long as this Agreement is in effect.

11.2 Transfer Event — Full IP Ownership

A "Transfer Event" occurs when both of the following are satisfied: (a) the Brand selects the Submission as a winner OR purchases the Submission via the Content Marketplace (Buyout), AND (b) AdArena has received the corresponding payment from the Brand. Upon a Transfer Event, the Creator irrevocably assigns to the Brand worldwide, perpetual, royalty-free ownership of the Submission, including the right to modify, distribute, sublicense, and use the Submission for any commercial purpose.

11.3 Non-winning Submissions

Submissions that do not trigger a Transfer Event remain subject to the exclusive license granted in §11.1. The Brand or AdArena may purchase rights to any such Submission at any time via the Content Marketplace, which constitutes a new Transfer Event under §11.2. The Creator may display non-winning Submissions in their AdArena public portfolio only, and may not license or upload them elsewhere.

11.4 Moral rights & attribution

To the extent permitted by law, Creators waive moral rights in any Submission that becomes the subject of a Transfer Event. Brands are not required to credit the Creator unless separately agreed.

AdArena is built on respect, originality, and craft. We expect everyone — Brands, Creators, Agencies, Guild Masters — to:

• Treat each other professionally. No harassment, hate speech, or discrimination.
• Submit original work; never plagiarize, re-upload, or impersonate other Creators.
• Disclose AI tools honestly when asked.
• Keep public discussion (Discord, comments, etc.) constructive.
• Report violations to contact@adarena.app.

You may not upload, post, transmit, or generate content that:

• Infringes anyone's intellectual property, publicity, or privacy rights.
• Contains copyrighted music, footage, fonts, or talent without proper license.
• Depicts a real human face, voice, name, or likeness — including via deepfake, face swap, AI clone, or voice clone — without a signed written release from that person (see §7.2).
• Uses the likeness, name, or persona of a celebrity, athlete, public figure, or politician without written authorization.
• Depicts or involves minors (under 18) in any commercial context without express AdArena written approval.
• Uses third-party brand logos, trademarks, slogans, packaging, or trade dress not approved in the Brand's brief.
• Includes hate symbols, extremist imagery, or terrorist iconography.
• Promotes regulated or restricted categories — including firearms, ammunition, gambling, prescription drugs, tobacco/vaping, adult content, cryptocurrency or securities investment promises, multi-level marketing — unless the Brand's brief explicitly authorizes the category and the Creator complies with all applicable advertising law.
• Is sexually explicit, exploits minors, promotes self-harm, or depicts gratuitous violence.
• Is defamatory, harassing, hateful, or discriminatory.
• Is misleading, fraudulent, or makes unsubstantiated medical, financial, or performance claims.
• Contains malware, spam, scraping tools, or attempts to disrupt the Platform.
• Violates any applicable law, sanctions regime, or export-control rule (see §21).

We may remove content and suspend or terminate accounts at our sole discretion, including on reasonable suspicion of breach.

We respect IP rights and respond to valid DMCA notices. To file a takedown, email contact@adarena.app with the subject line "DMCA Notice" and include:

• Your physical or electronic signature.
• Identification of the copyrighted work claimed to be infringed.
• The URL or sufficient detail to locate the allegedly infringing material.
• Your contact information.
• A statement of good-faith belief that the use is not authorized.
• A statement, under penalty of perjury, that the information is accurate and you are authorized to act on behalf of the rights holder.

Counter-notices may be sent to the same address. Repeat infringers will be terminated.

We use cookies and similar technologies to operate the Platform, remember your preferences, and analyze usage. Full details — including categories, purposes, and how to control cookies — are described in our Privacy Policy.

• Creators must honestly disclose the AI tools used in a Submission if asked by AdArena or the Brand. Falsely claiming human-only authorship is prohibited.
• The Creator warrants that they hold valid commercial licenses for every AI tool, model, voice, image library, music library, and dataset used (e.g., Sora, Veo, Runway, Pika, Suno, Udio, ElevenLabs, Midjourney, Flux). Compliance with each provider's Terms of Service is the Creator's sole responsibility.
• The Creator warrants that all rights necessary to commercialize the AI outputs (including the Brand's perpetual commercial use under §11) are conveyed.
• AdArena does not warrant that AI outputs are free of model-side IP, training-data, or third-party rights claims. The Creator indemnifies AdArena and the Brand against any claim arising from the use of an AI model, dataset, or output, including model-licensing or training-data disputes.
• AI usage does not exempt Submissions from any other rule, including the third-party likeness rule (§7.2) and the Acceptable Use Policy (§13).

As-is. The Services are provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

Limitation of liability. To the maximum extent permitted by law, AdArena's total liability arising out of or relating to the Services will not exceed the greater of (a) USD $100, or (b) the total fees paid by you to AdArena in the 12 months before the event giving rise to the claim. AdArena is not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, lost FX value, or business interruption.

Indemnification. You agree to indemnify and hold harmless AdArena, Playbox.io LTD, its officers, employees, agents, and partners from any claim, loss, settlement, or expense (including reasonable attorneys' fees) arising out of (a) your content or Submissions, (b) your use of the Services, (c) your breach of these Terms, (d) any claim of likeness, publicity, defamation, or IP infringement related to your Submissions, or (e) any AI-model or AI-output claim under §16.

Before filing, both parties agree to attempt good-faith resolution by emailing contact@adarena.app. Either party may seek injunctive relief in a court of competent jurisdiction to protect IP rights.

You may close your account at any time. We may suspend or terminate access at our discretion for any breach of these Terms, fraud, abuse, or sanctions concerns. Upon termination, sections that by nature should survive (IP, payouts owed, indemnities, disclaimers, liability limits, dispute resolution, sanctions) will continue to apply.

By using the Platform, you consent to the collection, processing, storage, and international transfer of your personal data as described in our Privacy Policy, including:

• Transfer of your personal data to Israel (where Playbox.io LTD is established) and to AdArena's sub-processors.
• Sharing with sub-processors strictly to operate the Services, including: Supabase (database, auth, storage), Resend (transactional email), Payoneer (international payouts), Grow / Meshulam (Israeli payment processing), Google (auth, analytics), and other infrastructure providers listed in the Privacy Policy.
• For EU/UK data subjects: cross-border transfers are governed by Standard Contractual Clauses (SCCs) where applicable.

If you are located in the EU/UK, California, or another jurisdiction with statutory data rights, see the Privacy Policy for how to exercise those rights.

By using the Platform, you warrant that you are not, and are not acting on behalf of any party that is:

• Listed on the U.S. OFAC SDN List, the EU Consolidated Sanctions List, the UK HMT Sanctions List, the Israeli Counter-Terrorism Bureau list, or any equivalent list.
• Located, organized, or resident in an embargoed or comprehensively sanctioned region — currently including (without limitation) Iran, Syria, North Korea, Cuba, the Crimea region, the so-called Donetsk and Luhansk People's Republics, and any other region added by the United States, the EU, the UK, or Israel.
• A government, military, or intelligence body of any sanctioned jurisdiction.

If a sanctions or export-control concern is identified, AdArena may immediately suspend the account, withhold or cancel any payout, and report to the relevant authorities. Any payout obligation is void if it would breach applicable sanctions or export-control law.

22.1 Force Majeure

Neither party is liable for delay or failure to perform caused by events beyond its reasonable control, including war, armed conflict, terrorism, cyber-attacks, denial-of-service attacks, internet or cloud-provider outages, payment-processor or Payoneer outages, regulatory action, sanctions, pandemics, natural disasters, or government order. Performance is suspended for the duration of the event.

22.2 Modifications

We may update these Terms from time to time. Material changes will be communicated via the Platform or by email at least 30 days before they take effect. Continued use of the Services after the effective date constitutes acceptance of the updated Terms. If you do not agree with the updated Terms, your sole remedy is to stop using the Services.

22.3 Severability

If any provision of these Terms is held invalid or unenforceable by a court or arbitrator of competent jurisdiction, that provision will be enforced to the maximum extent permitted, and the remaining provisions will continue in full force and effect.

22.4 Entire Agreement & Assignment

These Terms, together with the Privacy Policy and any additional agreements you sign on the Platform (e.g., Brand Service Agreement, self-billing agreement), constitute the entire agreement between you and AdArena regarding the Services and supersede all prior versions and understandings. AdArena may assign these Terms in whole or in part (including in connection with a merger, acquisition, or sale of assets); you may not assign them without AdArena's prior written consent.

22.5 No Waiver

AdArena's failure to enforce any provision is not a waiver of its right to do so later.

These Terms are governed by the laws of the State of Israel, without regard to conflict-of-law principles. Subject to §18 (Arbitration), the courts of Tel Aviv, Israel have exclusive jurisdiction over any matter not subject to arbitration.

We may update these Terms from time to time. Material changes will be communicated via the Platform or email at least 30 days in advance. Continued use constitutes acceptance.

By accepting these Terms, Creators residing outside Israel expressly:

(a) consent to the exclusive jurisdiction of Tel Aviv courts and the governing law of the State of Israel for all matters arising under these Terms and any Brand Service Agreements;

(b) acknowledge that the worldwide IP assignment under §7 is intended to be valid and enforceable in all jurisdictions, including the Creator's country of residence; and

(c) agree that any mandatory consumer-protection rights of their local jurisdiction shall apply only to the minimum extent legally required, and shall not affect the validity of the IP transfer to AdArena or its sublicensees (including Brands).
